1.1 Grant of License

Subject to your compliance with these Terms, Agency Optimization grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to access, view, and use the Site and its content—including text, graphics, videos, courses, training materials, products, services, and other information (collectively, "Content")—solely for your personal, non-commercial use.

Unless otherwise noted, all Content is the copyrighted property of Agency Optimization or its third-party licensors and is protected by United States and international copyright laws.

 

All trade names, trademarks, service marks, logos, and trade dress displayed on the Site are the property of Agency Optimization or are used with permission. Nothing on the Site grants any license or right to use any trademark without our prior written permission.

TO THE FULLEST EXTENT PERMITTED BY LAW, AGENCY OPTIMIZATION, ITS OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Syracuse, New York for any dispute arising out of or relating to these Terms or the Site.

 

If any provision of these Terms is held to be unlawful, void, or unenforceable, the remaining provisions will remain in full force and effect.

 

We may modify these Terms at any time by posting an updated version on the Site. All changes are effective immediately upon posting. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
